Our Mutual Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is made between Shark Group USA Inc., located at 1111 Brickell Ave, 10th Floor, Miami, FL 33131, and the undersigned individual or company (“Recipient”). The purpose of this Agreement is to facilitate discussions regarding a potential business relationship involving product design and development services. During these discussions, Shark Group may disclose confidential information, including but not limited to product designs, technical data, business strategies, financials, intellectual property, and trade secrets. The Recipient agrees to maintain strict confidentiality, use the information solely for evaluating the potential business relationship, and disclose it only to those within their organization who have a need to know and are similarly bound by confidentiality. The Recipient shall not reverse engineer or misuse any of the information and must report any unauthorized use or disclosure.

This Agreement remains in effect for five (5) years from the signing date, with trade secret obligations continuing indefinitely. Upon request or termination, all confidential materials must be returned or destroyed. This Agreement does not grant the Recipient any rights to Shark Group’s intellectual property. All information is provided “as is,” with no warranties. Any breach may result in injunctive or legal remedies.

The Agreement is governed by Florida law, and any disputes will fall under the jurisdiction of Miami-Dade County courts. This Agreement represents the entire understanding between the parties and may only be modified in writing. If any provision is found unenforceable, the remainder remains in effect.
